4. Service Agreements & Hierarchy of Terms
All services are governed by individual proposals, scopes of work, service agreements, or contracts issued by Genesis Group Agency.
Where a formal written contract has been signed, that agreement shall take precedence over these Terms and Conditions only in respect of the specific services covered.
Where no formal contract exists, but a proposal, quotation, scope of work, or written offer has been:
• Issued by Genesis Group Agency
• Accepted by the client (verbally or in writing)
• Paid for in full or part
Then:
• These Terms and Conditions shall automatically apply in full
• They are legally binding
• They govern the entire relationship
• They override any client terms
• Payment constitutes acceptance
For the avoidance of doubt:
You may not rely on the absence of a signed contract to avoid your obligations under these Terms.
5. Website Use
You agree not to:
• Use the site unlawfully
• Misrepresent your identity
• Upload malicious code
• Attempt unauthorised access
• Scrape or replicate content
• Harass staff or clients
We reserve the right to restrict access and take legal action where necessary.
6. Intellectual Property

• Branding

• Frameworks
• Downloads
• Training material
are the intellectual property of Genesis Group Agency.
You may not copy, distribute, resell, modify, or commercialise any content without written permission.
7. Contract Formation.
Regardless of whether a formal contract has been signed, you acknowledge and agree:
Where a proposal, quotation, or scope of work is issued and you:
• Confirm acceptance
• Make any payment
• Instruct us to commence work
This constitutes full legal acceptance of:
• The proposal
• These Terms and Conditions
• Any referenced policies
Payment is deemed an explicit contractual agreement.
8. Fees and Payments
• Fees are agreed in writing
• All prices exclude VAT unless stated
• Payment schedules are binding
• Late payments may incur interest
• Recovery costs may be added
• Services may be suspended for non-payment
9. Cooling Off Period
You are entitled to a 7-day cooling-off period from the payment date.
During this period:
• You may cancel in writing
• A full refund will be issued
• Only if work has NOT commenced
If you request work to begin within the cooling-off period:
• You waive your right to a full refund
• Any refund is discretionary
• Work delivered will be chargeable
After 7 days:
• All payments are non-refundable
10. Refund Policy
Unless stated otherwise:
• Deposits are non-refundable
• Services delivered are non-refundable
• Digital products are non-refundable
• Subscriptions may be cancelled, but no partial refunds
• No refunds after the cooling-off period
Refunds only apply if:
• We fail to deliver
• We materially breach the agreement
11. Client Responsibilities
You agree to:
• Provide accurate information
• Respond within reasonable timeframes
• Attend scheduled calls
• Not engage in abusive behaviour
• Not undermine the agency
We may terminate services for misconduct.
12. Recruitment Disclaimer
We do not guarantee:
• Candidate performance
• Retention
• Commercial outcomes
Final hiring decisions remain your responsibility.
13. Limitation of Liability
We do not guarantee:
• Revenue results
• Growth outcomes
• Business success
We are not liable for:
• Loss of profits
• Business interruption
• Platform failures
• Indirect losses
Our liability is capped at fees paid in the previous 3 months.
14. Force Majeure
We are not liable for failure to perform due to:
• Natural disasters
• War
• Pandemics
• Government restrictions
• Internet outages
• Acts of God
15. Third-Party Platforms
We are not responsible for:
• Social media platforms
• Advertising platforms
• Algorithm changes
• Account suspensions
16. Confidentiality
Confidential information is protected.
Formal confidentiality obligations are governed by:

17. Chargebacks & Payment Disputes
You agree:
• Not to initiate chargebacks
• To follow dispute resolution first
• Unauthorised chargebacks breach these terms

• Recover funds
• Report abuse
18. Termination
We may terminate services where:
• Payments fail
• Abuse occurs
• Terms are breached
• Reputational risk arises
No refunds apply after termination.

20. Dispute Resolution (Mandatory Process)
Step 1 – Formal Written Notice
You must submit a registered or signed written complaint to:

• Allow 30 days
No legal action permitted during this time.

Court Proceedings

21. Changes to Terms
